The Greenshaw Learning Trust is a charitable company, limited by guarantee, with the sole purpose of maintaining and developing academy schools to provide comprehensive and inclusive education for the public benefit. The formal governance arrangements for the Trust are set out in its Articles of Association.
The Trust’s governance arrangements and the roles of and delegation to its various elements are described in the Scheme of Delegation for Governance Functions here.
The highest level of governance of the Trust is its Members. The Members established the Trust and take the place of shareholders would have in a commercial company; they act as the ‘guardians’ of the Trust and have an overview of its governance arrangements. The Members appoint Trustees and delegate their powers and duties for the direction and oversight of the Trust to the Board of Trustees.
The Members of the Greenshaw Learning Trust are:
- Mike Cooper
- Cliff Ford
- Carolyn Swain
- Matthew Syed
- Sue Winspear
You can find out more about the Members by going to Meet the Members.
The Greenshaw Learning Trust is governed by its Board of Trustees. The Trustees are the legal governors of the Trust and the directors of the charitable company, and are responsible for the operation and performance of all schools in the Trust.
The current Trustees of the Greenshaw Learning Trust are:
- Diana Coman
- Mike Cooper (Chair)
- Gary Miles
- Roger Mills
- Ingrid Percy
- Darren Reynolds
- Karen Roche
- Will Smith
You can find out a little about the Trustees by going to Meet the Trustees.
Details of each Trustee’s appointment and their roles on the Board is set out here.
The Board of Trustees has established a number of committees to carry out particular aspects of its role. The membership of any committee may include persons who are not Trustees, provided that a majority of members of any committee other than a local governing body are Trustees.
The Board of Trustees has established a local governing body (LGB) for each school in the Trust, to which it delegates its powers and functions with regard to the management and performance and oversight of the school.
The Trust’s committees, including local governing bodies, their member and chairs, are set out here.
For more information about a local governing body, see the website for that school, which can be accessed under Our Schools.
The Board of Trustees delegates to the Executive Headteacher (CEO) responsibility for delivery of the Trust’s strategy and for the implementation of the policies of the Trust, and for the day-to-day running, internal organisation, management and control of central Trust services.
The Board of Trustees delegates to the Headteacher of each school in the Trust the responsibility for the day-to-day running of the school, including the internal organisation, management and control of the school and the direction of teaching and the curriculum, and for the implementation of the policies of the Trust and LGB.
The attendance record of Trustees at meetings of the Board and its committees can be found here. (The attendance record of local governors can be found on the relevant school website.)
The Trust is required to maintain a register of interests for all Trustees and non-trustee members of Board Committees, including local governing bodies – you can see the declarations of relevant interests here.
